It is trite that once an invention is registered, regardless of another’s invention - wholly independent and unaware of the existence of an invention, the first in time to register the invention prevails. It confers monopoly on the registered owner as it prevents others from operating within the scope of the trademark, copyright, design or patent. Anyone so doing can be sued for infringement or passing off and once there is sufficient proof, the owner will be entitled to damages and account of profits. This will invariably lead to economies of scale and scope, the effect of which is increased production, improved efficiency, reduced production costs, and additional income for the licensor. The license on the other hand, has the legal capacity to do – within the purview of the Licensing Agreement, that, which it may otherwise have been prevented from doing. In view of the anticipated expansion, antitrust restrictions are usually significant considerations in developed countries to prevent dominance or the monopoly of a market. However, such restrictions do not exist within the Nigerian legal system and a deal that would otherwise be hindered by antitrust regulations elsewhere will be allowed to proceed in Nigeria.

The owner and parties it engages for business purposes can enter into various agreements such as Confidentiality, Non-disclosure and Non-circumvention. This will ensure the invention is kept a trade secret under the applicable laws. Unlike registration, which is effective regardless of whether or not, one is privy to the registration of the invention; agreements will operate only to bind parties who are privy to it. Thus one who is not party to such agreement and obtained information from the public domain cannot be sued for breach of the agreement.
4. Marketing strategy campaign.
Ownership of an IP is a minefield, whether the owner uses it personally or licenses to a third party who is paying royalties. Thus the marketing strategy campaign the owner of an invention adopts must clearly distinguish and protect it from other goods and services. This marketing strategy can be in form of advertisements and other sales promotion activities to give the product a brand that is easily identifiable, recognizable, promotable and sellable to varied classes of customers. Owners of products and services have a self-serving duty to stay a step ahead of competitors. This can be done by constantly modifying their products and services or making slight amendments to improve the quality of their products and services, increase profit margins and for the overall success of the business.
